20 years experience providing clients with aggressive, effective representation tempered by an understanding of the personal and financial costs associated with adversarial dispute resolution.
Represents individuals, businesses and governmental entities throughout the Mountain West in administrative, arbitral and judicial proceedings involving all manner of ordinary and complex business, commercial, contract, construction, real estate development, and real property disputes. He has represented clients in industries such as construction, direct sales, internet service providers, manufacturing, real estate development, and retail and wholesale distribution. His representation of those clients has involved breach of contract claims, application and enforcement of restrictive covenants (in employment, franchise, direct sales distributor agreements, etc.), title defect and title insurance coverage disputes, allegations of unfair competition, allegations of mismanagement, embezzlement and/or breaches of fiduciary duties by partners, directors and majority shareholders, etc.
Counsels small (including startup) and mid-sized companies in each of the aforementioned industries, in a variety of transactional matters, including: entity formation, asset purchases, stock purchases, distribution contracts, manufacturing contracts, and various joint venture agreements.
Represents clients in all aspects of contested and uncontested domestic/family litigation, with a special emphasis in representing clients in cases involving the valuation and division of closely held companies.
